  • Invoices are payable within the timeframe specified in the agreement
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • All prices are subject to applicable taxes

7. Confidentiality

Both parties agree to:

  • Use confidential information only for the purposes of the service agreement

  • Return or destroy confidential information upon request or project completion

8. Warranties and Disclaimers

We warrant that:

However, except as expressly stated in a service agreement:

  • Services are provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free services
  • We disclaim all implied warranties including merchantability and fitness for a particular purpose

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
  • We shall not be liable for indirect, incidental, consequential, or special damages
  • We shall not be liable for loss of profits, revenue, data, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms of Service
  • Your violation of any laws or regulations
  • Your infringement of third-party rights
  • Your use of our services or deliverables

11. Termination

Either party may terminate a service agreement:

  • For convenience with written notice as specified in the agreement
  • Immediately for material breach by the other party
  • Immediately if the other party becomes insolvent or bankrupt

Upon termination, you shall pay for all services rendered up to the termination date.

12. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or Internet/telecommunications failures.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be:

  • First attempted to be resolved through good faith negotiations
  • If negotiations fail, resolved through arbitration or litigation as specified in the service agreement
  • Governed by the laws of the People's Republic of China

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

15. General Provisions

  • These terms constitute the entire agreement between parties regarding the subject matter herein
  • If any provision is found invalid, the remaining provisions remain in effect
  • No waiver of any term shall be deemed a continuing waiver
  • These terms may not be assigned without our prior written consent
